Welcome to KGChems.com, the official online order portal for Kitchen Guard franchisees, owned and operated by KGBC LLC. By accessing or using our website, you agree to comply with and be bound by the following terms of service. Please read them carefully.

1. Business Overview

  • KGChems.com is owned and operated by KGBC LLC, providing proprietary chemicals and associated equipment necessary for Kitchen Guard franchisees to perform their contracted duties in cleaning and maintaining commercial kitchen equipment.
  • Our services are geographically limited to the United States.
  • KGBC LLC manages financial transactions between Kitchen Guard franchisees and Boyer Corporation, which handles product fulfillment and shipping.
  • We are committed to supporting franchisees in maintaining compliance with Kitchen Guard standards and ensuring the highest level of service.

2. User Accounts

  • User accounts on KGChems.com are created by KGBC LLC using the franchisee's Kitchen Guard admin email address (not personal email addresses).
  • An activation link will be sent to the admin email address to complete the account setup process. Activation links are valid for 60 days.
  • To activate their account, users must create their own unique password. KGBC LLC does not have access to passwords set up during account activation.
  • If you need to reset your password, please use the "Reset Password" link on the login screen or send an email to kgbcllc101@gmail.com for assistance.
  • KGBC LLC reserves the right to suspend or terminate accounts if inaccurate information is provided or if the account is misused.
  • Account information is protected and used solely for order processing and communication purposes to ensure a secure and seamless experience.

3. Payment Terms

  • KGChems.com accepts all major credit cards and ACH transfers.
  • Franchisees must pay for orders as follows:
    1. Product Payment: Pay for products at checkout to initiate the order process.
    2. Freight & HAZMAT Charges: Once your order is ready to ship, you will receive a separate invoice for freight, HAZMAT, and any additional shipping fees. This invoice will be sent to your registered admin email.
  • All invoices for shipping and handling are valid for 7 calendar days from issuance. Orders will not be processed or shipped until full payment for both products and shipping has been received and cleared.
  • Once your order is ready for shipment, KGBC LLC will make up to three (3) payment requests for any unpaid shipping and handling invoices, with one reminder sent per week for three consecutive weeks. If the invoice remains unpaid at the end of the third week, the order will be canceled. The customer will be responsible for any and all disposal fees incurred, which will be invoiced separately. The customer’s account will also be suspended until all outstanding balances are paid in full.
  • Shipping costs, including HAZMAT fees where applicable, are calculated based on weight, destination, and material type. These fees are non-refundable once paid.
  • All payments must be made in U.S. dollars and are securely processed through a trusted payment gateway to protect your financial information.
  • If payment is not received within the stated period, KGBC LLC reserves the right to cancel the order and/or withhold future order processing until all outstanding balances are cleared.
  • All payment or invoice disputes must be submitted in writing via the "Contact Us" form on KGChems.com within 48 hours of invoice receipt.

4. Privacy and Data Protection

  • Your use of KGChems.com is governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information.
  • By using the Site, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
  • KGBC LLC is committed to protecting your personal information and ensuring it is used solely for order processing, account management, and communication purposes.
  • We do not share or sell customer data to third parties, except as required to fulfill orders, provide services, or comply with legal obligations.

5. Intellectual Property

  • All content on KGChems.com, including text, images, logos, software, and product information, is the property of KGBC LLC or its licensors and is protected under applicable intellectual property laws.
  • All Kitchen Guard brands and trademarks are the property of Kitchen Guard. Any Boyer Corporation or KGBC LLC trademarks belong to their respective owners.
  • Franchisees do not have the rights to use any trademarks, logos, or intellectual property without prior written consent from the respective owner.
  • These intellectual property protections are in place to maintain brand integrity and ensure compliance with legal standards.

6. Liabilities and Disclaimers

  • KGBC LLC and Boyer Corporation hold no liabilities regarding the safety, usage, or training related to any chemicals or materials sold through KGChems.com.
  • It is the responsibility of the franchisor and franchisees to ensure that all users are properly trained and use the materials as intended.
  • KGBC LLC ensures compliance with product handling and storage regulations but holds no liability for misuse, improper training, or failure to follow safety guidelines.
  • Safety Data Sheets (SDS) are available for all products sold through KGChems.com and provide detailed handling, storage, and safety instructions. Franchisees are encouraged to review these documents to ensure proper usage.
  • KGBC LLC works in partnership with the franchisor to ensure franchisees have access to the necessary resources and information for safe and effective product usage.
  • Any disputes related to safety or usage shall be handled by the franchisor.

7. Changes to the Terms

  • The Terms of Service will be readily posted on KGChems.com, and all franchisees with active account status will have access to them.
  • KGBC LLC reserves the right to update or modify these Terms of Service at any time and without prior notice.
  • Franchisees are encouraged to review the Terms of Service periodically on the KGChems.com website to stay informed of any updates.
  • All updates to the Terms of Service are made to improve clarity, ensure compliance with applicable laws, or enhance the quality of service provided to franchisees.

8. Termination

  • A franchisee's access to KGChems.com may be revoked at any time if they violate any terms of service or engage in prohibited activities, including but not limited to:
    1. Misuse of the website or its content.
    2. Providing false or inaccurate account information.
    3. Unauthorized sharing of account credentials or access.
  • Access will also be immediately revoked upon written direction from the franchisor.
  • KGBC LLC will notify the franchisee if their access is revoked and provide the reason for termination.
  • Terminations are enforced to protect the integrity of the platform, ensure compliance with franchisor policies, and maintain a secure and efficient ordering process.

9. Governing Law

  • These Terms of Service are governed by the laws of the State of Illinois, where KGBC LLC is based.
  • Any disputes arising from or related to the use of KGChems.com or these Terms of Service shall be resolved exclusively in the courts located in Illinois.
  • These terms comply with all applicable federal and state laws to ensure consistency and fairness in resolving disputes.
